Terms of Service

1. Service Description

EquityLogix is a real estate analytics and portfolio management platform. The Service provides tools for property deal scoring, investment analysis, portfolio tracking, expense management, tenant and lease management, financial reporting, and related features. The Service is designed for real estate investors, property managers, and related professionals.

2. Account Terms

To use the Service, you must create an account via an invitation link provided by an existing administrator. You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your password and account credentials.
• Promptly notify us of any unauthorized access to your account.
• Not share your account with others or create multiple accounts for one person.
• Be at least 18 years of age.

You are responsible for all activity that occurs under your account.

3. Subscription and Billing

The Service is offered on a subscription basis. By subscribing, you agree to the following:

• Subscriptions are billed monthly on a recurring basis.
• Your subscription will automatically renew each billing period unless you cancel before the renewal date.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within a billing period.
• We reserve the right to change pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.
• Payments are processed through Stripe. By subscribing, you also agree to Stripe's terms of service.

4. Acceptable Use

You agree not to:

• Redistribute, resell, or sublicense any data obtained through the Service, including but not limited to property data, analytics results, or scoring outputs.
• Share your account credentials with any third party or allow others to access the Service through your account.
• Use automated tools, bots, or scrapers to extract data from the Service.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Interfere with or disrupt the integrity or performance of the Service.

5. Data Ownership

You retain ownership of all data you input into the Service, including property information, financial records, tenant data, and documents ("Your Data"). By using the Service, you grant us a limited license to process, store, and display Your Data solely for the purpose of providing the Service to you.

We retain ownership of the Service itself, including all software, algorithms, scoring models, user interface designs, and documentation.

6. Third-Party Data

The Service integrates with third-party data providers, including but not limited to ATTOM Data Solutions for property data and valuations. Third-party data is subject to the respective provider's terms and conditions. We do not guarantee the accuracy, completeness, or timeliness of third-party data.

AI-generated estimates, including but not limited to After Repair Value (ARV) estimates, deal scores, and property valuations, are algorithmic outputs provided for informational purposes only. They are not appraisals, and they should not be relied upon as the sole basis for any investment decision.

7. Disclaimer — Not Financial or Investment Advice

The Service is an analytics and portfolio management tool. Nothing provided by the Service constitutes financial advice, investment advice, tax advice, legal advice, or a licensed appraisal. All deal scores, valuations, projections, and analytics are for informational purposes only. You should consult qualified professionals before making any investment, financial, or legal decisions.

8. Limitation of Liability

To the maximum extent permitted by law, EquityLogix and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

9. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your account if you violate these Terms, fail to pay subscription fees, or for any other reason at our discretion with reasonable notice.

Upon termination, you will have 30 days to export Your Data from the Service. After 30 days, we may delete Your Data in accordance with our Privacy Policy.

10. Dispute Resolution

Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Ohio. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. Modifications to Terms

We may modify these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or through the Service before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms.
